LSE-listed cybersecurity AI company Darktrace has reportedly agreed to be taken private by private equity firm Thoma Bravo in a deal that values the company at GBP 4.25 billion (USD 5.3 billion). The acquisition is still subject to shareholder approval but is expected to close by the end of 2024.
This valuation is on a full-diluted basis, considering all convertible securities and offering a more comprehensive view of Darktrace’s value.
Under the terms of the deal, shareholders will receive GBP 6.20 (USD 7.75) per share, a 44% premium on Darktrace’s three-month average share price and a 20% premium on its price as of April 25's close.
The company went public on the London Stock Exchange (LSE) in April 2021 at a valuation of USD 2.4 billion, having previously raised ~USD 230 million in venture funding and reached a private valuation of USD 1.65 billion.
