DarioHealth, a global digital therapeutics (DTx) platform, has entered into an agreement to acquire Physimax, an AI-based musculoskeletal (MSK) care company, to expand its MSK space. The deal is subject to regulatory approval from the Israel Innovation Authority.
Dario agreed to issue up to 256,660 shares of its common stock and a cash payment of USD 500,000 to buy Physimax's assets, as well as to absorb certain liabilities for nearly USD 1,020,000.
Following the launch of its proprietary MSK care platform Dario Move, in October 2021, this acquisition will enhance Dario’s existing MSK offerings and further develop its care capabilities. Dario moved into the space in January 2021, with the announcement to acquire Upright Technologies, a digital therapy and MSK care provider.
Isreal-based Physimax develops computer vision (CV) technology for MSK functional screening and predictive risk of injury assessment. The platform serves athletes, the US military, and care providers focused on orthopedic health.
