        MoneyLion is being sued by MALKA Media Group(MALKA) co-founders, Jeffrey Frommer, Lyusen Krubich, Daniel Fried, and Pat Capra, for an alleged breach of its membership interest purchase agreement, which has resulted in the founders not receiving substantial amounts in closing stock and earn-out payments.

        MoneyLion acquired content studio MALKA in November 2021 in a transaction worth USD 75 million. Through the acquisition, the company had planned to leverage MALKA&rsquo;s creator network to improve its customer engagement across digital channels by creating customized content that benefits consumer financial decision-making.

        MoneyLion paid USD 10 million in cash and USD 30 million in restricted stock to the founders of MALKA and had agreed to pay USD 35 million in additional earn-out payments if the latter achieved certain performance targets in 2021 and 2022.&nbsp;

    <li>
      <p>
        However, the founders&rsquo; complaint suggests that they are unable to access shares issued to them as part of the closing stock payment and 2021 earn out payment due to MoneyLion placing restrictions on it.&nbsp;
      </p>
    </li>
    <li>
      <p>
        They also claim that MoneyLion acted in further bad faith regarding the company&rsquo;s 2022 earn-out payment, arguing that the neobank did not acknowledge specific accomplishments and withheld the issuance of shares after making certain modifications to MALKA&rsquo;s financial performance.
      </p>
    </li>
    <li>
      <p>
        The founders are seeking compensation linked to MoneyLion's inability to provide the USD 25 million earn-out payment for 2022, as well as its failure to participate in a dispute resolution procedure that also resulted in the denial of shares to the group.
      </p>
