Thoma Bravo to take Darktrace private at ~USD 5 billion

M&A

  • LSE-listed cybersecurity AI company Darktrace has reportedly agreed to be taken private by private equity firm Thoma Bravo in a deal that values the company at GBP 4.25 billion (USD 5.3 billion). The acquisition is still subject to shareholder approval but is expected to close by the end of 2024.

  • This valuation is on a full-diluted basis, considering all convertible securities and offering a more comprehensive view of Darktrace’s value. 

  • Under the terms of the deal, shareholders will receive GBP 6.20 (USD 7.75) per share, a 44% premium on Darktrace’s three-month average share price and a 20% premium on its price as of April 25's close.

  • The company went public on the London Stock Exchange (LSE) in April 2021 at a valuation of USD 2.4 billion, having previously raised ~USD 230 million in venture funding and reached a private valuation of USD 1.65 billion.
