        Vera Whole Health, a Washington-based primary care provider, has announced its plans to merge with a healthcare navigation platform, Castlight Health. The deal is subject to regulatory approval and is expected to close in Q1 2022. Castlight stock rose 25% following the announcement from its close price of USD 1.64.

        Vera will acquire all outstanding shares of Castlight for a total consideration of USD 370 million (or USD 2.05 per share) in cash, 25% higher than its closing price on January 4th, 2022. The combined entity will receive an investment of up to USD 338 million from Clayton, Dubilier &amp; Rice, Vera&rsquo;s majority equity holder. Anthem, a strategic client of Castlight, will also invest in the combined company.

        The merger will integrate Castlight&rsquo;s navigation and engagement technology with Vera&rsquo;s primary care clinics and provider network to expand access to care and reduce healthcare costs. The combined entity will be publicly held, once the deal is finalized. In addition, the former Aetna chairman and CEO Ron Williams will serve as the chairman of the new company.
