Virginia-based quantum computing software company Quantum Computing Inc. (QCI) has closed its previously announced acquisition of New Jersey-based quantum photonics company QPhoton, for an undisclosed amount. QPhoton will operate as a fully-owned subsidiary of QCI.

The transaction consideration will be paid in 5.8 million common shares, 3.1 million Series B preferred shares that are convertible into 23.8 million common shares, and warrants to purchase up to 7 million common shares at a rate of USD 0.0001 per share.
The transaction makes QCI a full-stack quantum computing company and enables it to offer combined solutions that can be used by non-quantum experts to solve complex practical problems. QCI expects to launch its new solutions that will leverage QPhoton’s quantum photonics system (QPS) in Q4 2022.
