Superlatus, a diversified FoodTech company, following its merger with TRxADE HEALTH, Inc., a pharmaceutical exchange platform provider, has entered a binding agreement to acquire The Urgent Company (TUC), including its consumer brands Coolhaus, Brave Robot, Modern Kitchen, and California Performance Co., from Perfect Day for USD 1.25 million.
TUC was founded in 2020 as a spin-off from Perfect Day to focus on the D2C business. The company uses precision fermentation to develop its products, which are available in over 6,000 stores across the US, including Whole Foods, Kroger, and Costco.
The acquisition will strengthen Superlatus' position in the sustainable food industry and provide the combined company opportunities to enter new markets and expand market share. Further, the deal aligns with their environmental missions to transition products to animal-free alternatives and satisfy the demand for sustainable products.
Analyst QuickTake: Recently, Perfect Day laid off 15% of the workforce at The Urgent Company as a part of its exit plan from the consumer-facing business to prioritize B2B efforts. Perfect Day planned to sell all or part of TUC by September and retained select employees as consultants to avoid retail service disruptions.
