Bruush Oral Care, a Canada-based oral care company, and Arrive (formerly DroneDek), a developer of landing platforms for drone deliveries, have agreed to merge, to focus on advancing Arrive's smart Mailbox-as-a-Service (MaaS) platform. The deal is expected to close in Q1 2024, subject to customary closing conditions.
The merger involves a reverse triangular merger through an all-stock transaction, and the combined company is expected to operate under the name “Arrive Technology Inc.,” with plans to list its shares on the Nasdaq under the ticker “ARRV.”
The combined company, headquartered in Indianapolis, Indiana, will be led by Arrive's current management team, with Dan O'Toole as the chief executive officer (CEO). The board of directors is expected to comprise five members, with Brüush designating one and the remainder by Arrive.
