Xos, a developer of battery-electric heavy- and medium-duty trucks, has entered a definitive arrangement agreement to acquire ElectraMeccanica, a Vancouver-based designer and assembler of three-wheeled electric vehicles (EVs), in an all-stock transaction.
The proposed transaction, which is expected to close in the first half of 2024, will provide ElectraMeccanica’s shareholders with approximately 21.0% of Xos shares, and will be subject to changes as set out in the definitive arrangement agreement.
With this acquisition, Xos expects to leverage ElectraMeccanica's cash holdings of USD 48.5 million to meet the increasing demand for its medium-duty electric trucks. Moreover, the acquisition will also provide growth funding to support the expansion of Xos' business operations.
