Xos acquires ElectraMeccanica in all-stock transaction

M&A

  • Xos, a developer of battery-electric heavy- and medium-duty trucks, has entered a definitive arrangement agreement to acquire ElectraMeccanica, a Vancouver-based designer and assembler of three-wheeled electric vehicles (EVs), in an all-stock transaction.

  • The proposed transaction, which is expected to close in the first half of 2024, will provide ElectraMeccanica’s shareholders with approximately 21.0% of Xos shares, and will be subject to changes as set out in the definitive arrangement agreement.

  • With this acquisition, Xos expects to leverage ElectraMeccanica's cash holdings of USD 48.5 million to meet the increasing demand for its medium-duty electric trucks. Moreover, the acquisition will also provide growth funding to support the expansion of Xos' business operations.
