LanzaTech, a next-generation carbon transformation company, has entered into a definitive business combination agreement with AMCI Acquisition Corporation II, a publicly traded special purpose acquisition company (SPAC). Following the transaction, the combined company expects to be listed on Nasdaq.
The transaction values the company at USD 2.2 billion and is estimated to provide gross proceeds of up to USD 275 million. This includes USD 150 million of AMCI’s cash reserves and USD 125 million fully committed private investment in public equity (PIPE) from AMCI, ArcelorMittal, BASF, K1W1, Khosla Ventures, Mitsui & Co, New Zealand Superannuation Fund, Oxy Low Carbon Ventures LLC, Primetals Technologies, SHV Energy, and Trafigura.
Proceeds will be used to fund the commercialization operations of LanzaTech’s proprietary technologies. The transaction is expected to close in Q3 2022.
