Vera Whole Health

Vera is a healthcare provider combining primary, preventative, urgent care, occupational health, and wellness services. It leverages information from sources such as claims data and past health records in predicting and warning members of health risks. Vera operates 26 clinics across 10 states as of August 2021, in addition to corporate customers’ onsite locations. Focused mainly on the B2B segment, it provides planned care (physical checkups, biometric screenings, and health risk assessments), unplanned care (workplace injuries and acute conditions), health coaching (lifestyle and behavior advice to improve health), chronic disease management, and occupational health solutions.

In 2019, Universal Health Services in Pennsylvania partnered with Vera to operate its primary care centers. Vera claims its clients have seen a 17%-21% reduction in total healthcare costs and a 31% reduction in primary care claims. The company raised USD 50 million in August 2021 from Morgan Health, which will be used to scale Vera’s integrated coordinate care platform and expand its operations across the country through partnerships with primary care providers and hospitals.

The company announced its plans to merge with the publicly listed healthcare navigation platform Castlight Health in January 2022 and the deal is expected to close in Q1 2022. Verra will acquire all outstanding shares of Castlight for a total consideration of USD 370 million and the combined entity will receive an investment of up to USD 338 million from Clayton, Dubilier & Rice, Vera’s majority equity holder. Anthem, a strategic client of Castlight, will also invest in the combined company. The merger will integrate Castlight’s navigation and engagement technology with Vera’s primary care clinics and provider network to expand access to care and reduce healthcare costs. The combined entity will be publicly held, once the deal is finalized. In addition, the former Aetna chairman and CEO Ron Williams will serve as the chairman of the new company.
